Constitution of the Batavia Society of Artists, Batavia, New York


Article I: Name:
    A. The Name of the organization shall be the Batavia Society of Artists.

Article II: Purpose:
    A. The Batavia Society of Artists is organized for the following not for profit purposes.
       1. To encourage artistic endeavors and high standards though exhibitions, art demonstrations, discussion groups, lectures, and other means.
       2. To encourage cooperation and the exchange of ideas between members of the Batavia Society of Artists and the community.

Article III: Membership:
    A. Any person may become a member of the organization as provided in the bylaws.

Article IV: Leadership:
    A. The Batavia Society of Artists Leadership shall consist of 6 (six) Board Members, the Treasurer, and the Historian.
    B. The Executive Board of the Batavia Society of Artists consist of:
        1. 6 (six) Board Members.
        2. Treasurer.
    C. The Executive Board’s duties shall be as described in the By-laws.
    D. The Historian’s duties shall be as described in the By-laws.
    E. Term of office shall be:
        1. One year for the Treasurer and Historian.
        2. Two year for the Board Members. Board Members to be elected on a staggered basis so that half the Board Members are elected each year.
        3. Board Members are limited to 1 (one) consecutive two-year terms.
        4. Treasurer is limited to 5 (five) consecutive terms.
        5. Term year shall run from January to December.

Article V: Meetings:
    A. Regular meetings will be held as described in the By-laws.
    B. Election of officers will be held in November.

Article VI: Amendments:
    A. Amendments to this Constitution may be may at any time by a 2/3 affirmative vote of the members in attendance, following a ten day written notice to the membership.

Article VII: By-laws:
    A. By-laws for the transaction of the Batavia Society of Artists business, may be adapted, revoked, or amended at any time by the majority vote of the members in attendance, following a ten day written notice to the membership.

Article V111: Dissolution:
    A. In the event of dissolution, all of the remaining assets of the organization shall, after all other financial obligations are met, be distributed to such organizations as shall be agreed upon by a 2/3 vote of the members following a ten day written notice.
